集运合约条款

Standard Agreement on Maritime Logistic Service

From China Mainland to West Malaysia

 

 

选择使用本合约条款下的服务后,本合约条款即在您(甲方)和永通速递(马来西亚)有限公司(乙方)之间产生法律效力,即甲方同意使用乙方提供的从中国至马来西亚集运服务。甲方应在选择前认真阅读本合约条款,选择使用本合约条款的服务即表示您已同意了本合约条款。

This Service Agreement shall be legally binding on you (Buyer) and Saint Eternal Express Sdn Bhd (Seller) and Buyer shall be deemed to have agreed to use maritime logistics services provided by Seller once Buyer chooses to use the services in this Service Agreement. Buyer should read this Service Agreement carefully before choosing to use the services in this Service Agreement. By choosing to use the services in this Service Agreement, Buyer shall be deemed to have consented to and executed this Service Agreement.

If Buyer has any questions with respect to the terms and conditions of this Service Agreement, please do not hesitate to inquire through Seller’s customer service channels. The customer service personnel will explain these terms and conditions to Buyer. If Buyer disagrees with any of the terms and conditions of this Service Agreement or unable to understand the explanation of these terms and conditions completely, please do not proceed further.

 

双方经过友好协商,达成协议如下:

Upon friendly negotiations by both Parties, it is agreed as follows:

 

1. 集运服务内容

Maritime Logistic Service Scope

 

1.1. 乙方为甲方提供从中国至马来西亚西马的专业海运物流服务,包括但不限于包裹入库、包裹处理、发货出库、国际运输、国内及目的国清关及目的国派送等服务。
Seller provides Buyer maritime logistics services, which services shall include but not limited to the parcel’s inbound, parcel’s handling, parcel’s dispatch from warehouse, parcel’s international maritime transportation, custom clearance in the country of departure and country of destination, and parcel delivery in the country of destination.

2. 集运收费标准

Maritime Logistic Service Charging Standard

 

2.1. 集运运费

Shipping Rate

2.1.1.  中国广州到马来西亚西马集运费用组成包含入库分拣、录入、装柜、出关、海运、

 进关、缴税、出库分拣及派送。

 运费不含特殊包装加固费如打木架等;不含保险费,甲方可自行自愿向乙方投保;

 不含派送上楼、进屋、超时等候、二次派送、超限货物特种车辆送货费。

 一切正常运输范围外的费用实报实销。

 

 

 

 

 Standard Shipping Rate from China Mainland to West Malaysia includes parcel’s 

 handling fee, custom clearance fee, custom duty and door-to-door delivery fee. 

 Packaging reinforce charges, parcel insurance, oversized parcel charges, 

 extra waiting time charges and delivery reattempt charges are not included in 

 Standard Shipping Rate. The extra charges will be discussed separately.

2.1.2.  普通客户集运最低消费为人民币18/批次/首重。

 Minimum spending per shipping/first kg for normal customer is RMB18.

2.1.2.1.  柔佛新山客户:如超过最低消费体积/批次,按照实际体积计算运费。

 For Johor Bahru, Johor: Shipping rate calculation according to actual volume of

 total parcel shipped if shipping fee exceeded minimum spending.

2.1.2.2.  其余西马地区:

 海运小货 —— 如超过最低消费公斤/首重,按照抛重公斤计算运费。

 海运大货 —— 最低起运体积为0.3立方米,如超过最低起运体积/批次,按照实际

 体积计算运费。

 For West Malaysia, outside Johor Bahru: 

 For lightweight cargo, shipping rate calculation according to lightweight cargo 

 rate per parcel shipped if shipping fee exceeded minimum spending.

 For large cargo, minimum spending per shipment is 0.3m3Shipping rate 

 calculation according to actual volume of total parcel shipped if shipping fee 

 exceeded minimum spending.

2.1.3.  商业客户集运最低起运为1立方米。

 Minimum spending per shipping for commercial customer is 1m3.

2.1.3.1.  如不足1立方米按照1立方米计算运费,如超过1立方米/批次按照实际体积

 计算运费。

 Shipping rate calculation according to actual volume of total parcel shipped if the   

 actual volume of total parcel shipped exceeded 1m3

2.1.4.  运费计算

2.1.4.1.  柔佛新山客户:运费=货物实际体积(m3)*大货单价(最低消费人民币18 /批次)

 单件包裹的体积最小值认0.005立方米,如单件包裹体积少于0.005立方米,

 按照0.005立方米/件计算运费。 单批次总体积最小值认定为2位小数。

 For Johor Bahru, Johor: Shipping Rate = Volume(m3)*Unit Rate for Large Cargo 

 (Minimum spending per shipping is RMB18)

 Minimum recognised volume for single parcel is 0.005m3. Shipping rate 

 calculation according to 0.005m3 which is minimum recognised volume for single 

 parcel if the volume of single parcel less than 0.005m3. Total volume per shipment 

 be deemed to round to 2 decimal places.

2.1.4.2.  其余西马地区:

 海运小货 —— 运费=货物实际体积(cm3)/6000*公斤单价(最低消费人民币18 /

 首重

 海运大货 —— 运费=货物实际体积(m3)*大货单价最低起运体积0.3立方米/批次)

 单件包裹的体积最小值认0.005立方米,如单件包裹体积少于0.005立方米,

 按照0.005立方米/件计算运费。 单批次总体积最小值认定为2位小数。

 For West Malaysia, outside Johor Bahru: 

 For lightweight cargo, Shipping Rate = Volume(cm3)/6000*Unit Rate for KG 

 (Minimum spending for first kg is RMB18)

 For large cargo, Shipping Rate = Volume(m3)*Unit Rate for Large Cargo 

 (Minimum spending per shipping is 0.3 m3)

 

 

 

 

 Minimum recognised volume for single parcel is 0.005m3. Shipping rate 

 calculation according to 0.005m3 which is minimum recognised volume for single 

 parcel if the volume of single parcel less than 0.005m3. Total volume per shipment 

 be deemed to round to 2 decimal places.

2.1.5.  汇率换算

 Exchange Rate

2.1.5.1.  人民币兑换马币的汇率换算以每个星期二装柜当天的汇率为准,乙方将于每个

 星期二公告汇率。

 Seller shall announce the latest foreign exchange rate for RMB to MYR 

 every Tuesday when the parcel is loaded into container.

2.1.6.  超限货物的定义

 Definition of Oversized Parcel

2.1.6.1.  超长=单边超过1.5

 The length of single side of single parcel exceeded 1.5m.

2.1.6.2.  超大=单体货物超过1立方米

 The volume of single parcel exceeded 1m3.

2.1.6.3.  超重=重量超过100公斤

 The weight of single parcel exceeded 100kg.

2.1.6.4.  无法以人力卸货等作业困难的单体货物

 Any single parcel that cannot be unload from container by manpower 

 and need to be unload using specific instruments.

2.1.6.5.  以上超限货物运费另议。

 There will be extra charges on oversized parcel above. The extra charges will be 

 discussed separately.

 

2.2. 货物投保保费

Parcel Insurance 

2.2.1.  货物保费为货物价值的3%,一个快递单号对应一个单品,一个单品最低保费为

 人民币100,或等值马币。投保货物的最高索赔额以实际货物价值为准

(需提供有效凭证)

 甲方如需自愿投保请联系客服,且提供购物凭证。

 Parcel insurance charges is 3% of the value of the parcel. Minimum charges for 

 single parcel (One parcel tracking number=One parcel) is 100RMB, or Malaysia Ringgit 

 equivalent. Maximum compensation amount for single parcel that is covered by 

 insurance is depending on the actual parcel value and need to be verified by its 

 goods’ invoice.

 If Buyer wants to be insured, please do not hesitate to inquire through Seller’s 

 customer service channels and provide goods’ invoices to seller. 

2.2.2.  投保时间货物到达中国广州仓库后且货物装柜发运前投保

 Buyer shall insure cover insurance once the parcel reached Guangzhou, 

 China Mainland Warehouse, before parcel loaded into container.

2.2.3.  非投保货物的最高索赔额为所损失订单运费的3倍,且封顶为人民币1000/订单,或等值

 马币(需于签收后48小时内提供有效凭证)

 Maximum compensation amount for single shipment that is not covered by insurance is 

 3 times the shipment fee of lost or damaged parcel, or 1000RMB, or Malaysia Ringgit 

 equivalent. The compensation amount needs to be verified by supporting evidence 

 within 48 hours after receiving the shipment.

2.2.4.  在货物有任何损失的情况下,甲方的责任乙方不予赔付,若是乙方的责任乙方将

 进行赔付,请参考本合约条款第11条。

 

 

 

 In case of parcel lost or damaged, Seller shall not hold liable to incident due to 

 Buyer’s negligence of duty. Seller will only make compensation to incident due to 

 Seller’s negligence of duty. Please refer to Article 11.

 

2.3. 仓储费用

Warehousing Service Charges

2.3.1.  中国仓库不提供存仓服务,货到仓库后随最近船期货柜出运。

 Seller does not provide warehousing services in China Mainland. 

 All parcels will be shipped out from China Mainland to Malaysia by latest 

 shipping schedule container once the parcels reached the warehouse in 

 China Mainland.

2.3.2.  马来西亚仓库提供为期14个自然日的免费存仓服务开始时间为货物到达马来西亚

 仓库后正式发出账单时开始计时,如超过14 个自然日即第15个自然日起将产生

 仓储费用。

 Seller provides free warehousing services in Malaysia for 14 natural days. The starting 

 date for the free warehousing services is when the shipping invoices sent out to Buyer.

 There will be extra charges on warehousing services exceeded 14 natural days.

3. 集运付款期限

Payment Term

 

3.1. 甲方需在收到集运账单后结清所有集运费用,否则乙方将不会进行任何包裹派送。

Full payment is required prior to parcel delivery in Malaysia.

3.2. 若甲方超过90个自然日进行付款乙方有权视为甲方作为包裹所有权人授权乙方将包裹销毁。自集运账单发出之日起第91个自然日起,乙方有权就上述包裹进行销毁且无需再通知甲方或得到甲方确认,甲方同时放弃要求乙方提供销毁证明的权利。

If Buyer fails to make payment in 90 natural days, it shall be deemed that the Buyer, as the owner of the parcel, has authorized Seller to destruct the parcel. As from the 91st natural day after the shipping invoice is sent out to Buyer, Seller shall have the right to destruct the parcel without either notifying the Buyer thereof or obtaining a confirmation thereof from the Buyer, in which case the Buyer concurrently waives its right of requesting Seller to provide a proof of such destruction.

4. 集运服务范围

Maritime Logistic Service Area

 

4.1. 乙方提供从中国广州至马来西亚西马指定地点屋外或楼下的货物集运及派送服务,包括马来西亚柔佛新山森林城市、金海湾及富力公主湾也同样不提供任何搬运货物上楼进屋的服务。

Seller provides maritime logistics services from Guangzhou, China Mainland to West Malaysia. Parcel will only be delivered to outside or downstairs of the building, including all areas in Forest City Gelang Patah, Country Garden Danga Bay and R&F Princess Cove.

4.2. 甲方有需要任何搬运货物上楼进屋服务或家具类货物安装服务,请联系客服,所有额外服务的费用另议

Please do not hesitate to inquire through Seller’s customer service channels if Buyer needs any services such as parcel delivery inside or upstairs of the building or installation of furniture. The charges on these extra services will be discussed separately.

 

5. 集运运输派送时效

Timeliness and Efficiency of Maritime Logistic Service

 

5.1. 乙方将于个星期于中国广州仓库进行装柜,预计1012个自然日抵达马来西亚仓库,然后开始陆续进行卸货分拣派送。

例如:2020842020810抵达中国广州仓库并签收的货物,预计2020811进行装柜,并预计将于2020820日抵达马来西亚柔佛新山仓库开始进行分拣派送

 

 

 

 

Parcel will be loaded into container on every Tuesday at Guangzhou, China Mainland Warehouse and will be sent out to the port afterwards. The container is expected to arrive at 

Malaysia Warehouse in 10 to 12 natural days and will be started to unload, sort and deliver parcel.

For example, if the parcel had arrived at Guangzhou, China Mainland Warehouse between 4th August 2020 to 10th August 2020, it will be loaded into container on 11th August 2020 and is expected to arrive at Malaysia Warehouse on 20th August 2020.

5.2. 如遇到任何中国及马来西亚假日,集运运输派送时效将进行顺延,乙方将另行通知。

Timeliness and efficiency of maritime logistic service will be affected due to China Mainland or Malaysia Public Holiday. The cycle length is expected to be longer. Seller will make announcement through logistic platform regarding the new estimated time of arrival of the container.

 

6. 货物分类

Classification of Goods

 

6.1. 普通货:家具、日用百货、衣服、鞋子、包包、书本、食品化妆品、护肤品、电脑手机游戏机空调冰箱电视洗衣机等大、小型家用电器建筑材料工业用五金灯具化工产品性用品光盘营养保健品瓷砖轮胎高关税产品(如床垫)易碎品(如玻璃制品、陶瓷制品、大理石台面等)

Normal Goods: Furniture, Daily Supplies, Clothes, Shoes, Bags, Books, Foods & Groceries, Cosmetics & Skin Care Products, Computer, Cell Phone, Game Console, Electric Appliances such as Air Conditioner, Refrigerator & Television, Building Materials, Industrial Hardware, Lamps, Chemical Products, Sex Toys, CDs, Health Care Products, Ceramic Tiles, Tires, High Custom Duty Goods such as Mattress, Fragile Goods such as Glassware, Ceramic Products & Marble Products.

6.2. 禁运货:烟、酒、液体、粉末状物品、致人成瘾的麻醉药物和精神物品、各类药品、易腐烂腐败品、动物、植物以及它们的标本和一些自然资源、冷冻产品、汽车(整车)、汽车电池、锂电池、汽车发动机、烟花爆竹、具放射性物品,易燃易爆物品、打火机、金银首饰、仿牌冒牌货、有效期限少于3个月的食品以及中马两国规定禁止进出口的一切货物。

Goods Prohibited to Transport: Cigarettes, Alcohol & Liquor, Goods in Powder Form, Addictive Narcotic Drugs & Psychotropic Substances, Medicine, Perishable Products, Animals, Plants & their Specimens or Natural Resources, Frozen Foods, Automobile, Automobile Battery, Lithium Battery, Engine & Motor, Pyrotechnic Products, Radioactive Items, Explosive & Flammable Items, Lighter, Gold & Silver Jewelry, Counterfeit, Foods that expired in 3 months’ time and Goods whose circulation or mailing is prohibited by national laws and regulations.

6.3. 如有未列明货物,以中国及马来西亚两国相关法律为准。

Unclassified goods will be defined according to relevant laws and regulations in China Mainland and Malaysia.

 

7. 运输包装

7.1. 甲方同意将一切货物打包成抗压耐磨适合海运运输的包装,如甲方没有就货物进行适合海运运输的包装,乙方将不承担任何货物损坏的责任。

例如:易碎灯具需要打木架,整装家具易碎大理石需要打木箱,展示冰箱展示面需要全木包装,如有不明确的联系客服确认

 

 

 

 

 

The Buyer agrees and guarantees that parcel is corresponding to maritime logistic package standard. If Buyer fails to pack the parcel in correspond standard, Seller shall not be liable for any loss or destruction of the parcel.

For example, wooden frame packaging needed for lamps, wooden box packaging need for furniture, electric appliances and fragile goodsPlease do not hesitate to inquire through Seller’s customer service channels if Buyer needs to confirm with maritime logistic package standard.

7.2. 甲方需自行提醒发货方(包括但不限于网购卖家等)检查货物包装是否适合海运运输,乙方只负责外包装完好货物签收和发运。

Buyer shall hold liable to remind Merchant or Sender to inspect and confirm that the outer packing of parcel is suitable for maritime logistic. Seller will only provide maritime logistic service to parcel corresponding to maritime logistic package standard. 

7.3. 甲方如需对货物进行加固处理如打木架等,请联系客服。

If Buyer wants to reinforce the package of parcel such as pack parcel in wooden frame, please do not hesitate to inquire through Seller’s customer service channels.

 

8. 马来西亚派送等候

Malaysia Delivery Waiting Time

 

8.1. 普通货物派送等候时长为15 分钟,若甲方超时未能正常收货,需乙方进行二次派送,乙方将向甲方收取二次派送费用50 马币/批次。

Normal delivery waiting time is 15 minutes. If Buyer fails to receive parcel in specified delivery time which is 15 minutes and needs Seller to reattempt for the second time for the parcel delivery, there will be extra charges of MYR50 per time.

8.2. 超限货物单件货物卸货时长不超过30 分钟,若甲方超时未能正常卸货,需乙方进行二次派送,乙方将向甲方收取二次派送费用,此派送费另议。

Oversized parcel’s delivery unload time is 30 minutes. If Buyer fails to unload parcel from truck in specified delivery unload time which is 30 minutes and needs Seller to reattempt for the second time for the parcel delivery, there will be extra charges to be discussed separately.

8.3. 如甲方要求派送待时加时,待时加时为80 马币/30 分钟,不足30 分钟以30 分钟计算。

Extra delivery waiting time requested by Buyer will be charges at MYR80/30 minutes. Waiting time less than 30 minutes will be treated as 30 minutes. 

8.4. 派送时间以乙方安排为准

Delivery time to be arranged by Seller.

 

9. 不可抗力
Force Majeure

 

9.1. 乙方不对下列原因造成的包裹灭失、损毁、延误等承担任何赔偿责任
Seller shall not be liable for any loss, destruction or delay in delivery of the parcel arising from any of the following reasons.

9.1.1.  由于暴乱、起义、骚乱、火灾、洪水、罢工、风暴、爆炸、战争、政府行为、海关扣关

 查验、国际码头拥堵、国际、国内法院的命令等不可抗力而造成的不能服务延迟

 服务
 Failure of or delay in providing services due to insurrection, uprising, riot, fire, flood,

 strike, storm, explosion, war, government act, detention and inspection by customs, 

 congestion of international terminal, orders of international or domestic courts, or 

 other force majeure events.

9.1.2.  由于船运公司更改船期或减少船期而造成的不能服务延迟服务

 Failure of or delay in providing services due to reschedule of cargo shipping date of 

 global cargo shipping company.

 

9.1.3.  由于疫情期间配送时效受诸多因素影响,不限于管制令期间、配送区域有疫情集中

 病例等而造成的不能服务延迟服务

 Failure of or delay in providing services due to Covid-19 Pandemic and Movement 

 Control Order in Malaysia.

9.1.4.  乙方运输平台必要的系统升级、维护、施工突发性通信设备故障等而造成的不能服务

 延迟服务
 Failure of or delay in providing services due to Seller’s Logistic Platform and its

 necessary system upgrade, maintenance and construction or unexpected failure of

 communication equipment.

9.1.5.  商品自身的瑕疵及内在缺陷所引起的变质、变量、破损或灭失

 Deterioration, quantitative change, damage or loss due to flaws and inherent 

 defects of the commodities.

9.1.6.  它双方约定或法律规定的原因。

 Other reasons agreed by the Parties or stipulated by the laws.

 

10. 双方权利义务

Rights and Obligations of Both Parties

 

10.1. 甲方的权利义务

Rights and Obligations of the Buyer

10.1.1. 甲方同意并保证其在运输平台向乙方提供真实有效的姓名、身份证件号码、联系方

式,以便在包裹入库环节出现异常及时沟通;同时甲方应确保其提供的收货人及收货地址等收货信息准确且完整,如因甲方提供的信息填写错误、模糊等造成的无法配送、错误配送等,乙方不承担任何责任。若包裹甲方所在国家、地区入境需要办理相关进口清关、申报手续,甲方特此授权乙方以其名义进行申报,并依法代其缴纳相应入境税费。
The Buyer agrees and guarantees to provide Seller on the Logistic Platform with the true and valid name, the serial number on Identity Card and contact details of the Buyer, for the purpose of timely communication in case of any irregularity arising from the entry of a parcel into the warehouse. In the meantime, the Buyer shall ensure the information provided by him/her for the purpose of receipt of goods (e.g. the recipient’s name and address) to be accurate and complete. Seller does not accept any responsibility for a failure to make delivery or a wrong delivery caused by any erroneous or illegible information provided by the Buyer. In case it is necessary to handle any procedures of customs clearance and declaration in relation to those import goods which are to enter the country or territory where the Buyer is located, the Buyer hereby authorizes Seller and its service provider to make declaration in the name of the Buyer and pay import duties on behalf of the Buyer as statutorily stipulated.

10.1.2. 甲方了解并同意,本合约条款的签署并不意味着乙方成为甲方与第三方所进行交易的

参与者,对前述交易乙方仅提供本合约条款约定之服务,不对甲方行为的合法性、有效性及商品的真实性、合法性和有效性作任何明示或暗示的担保,甲方应对其所有商品及包裹独自承担全部责任。
The Buyer is aware and agrees that the signing of this Service Agreement does not make Seller a participant of the deal between the buyer and the third party. Seller only provides services with respect to the deal in accordance with this Service Agreement, and does not provide any explicit or implicit guarantee for the legality and validity of the Buyer’s activities or the authenticity, legality, and effectiveness of the products. The Buyer shall be solely responsible for all of the parcels purchased by Buyer.

 

 

10.1.3. 甲方购买的商品若遇海关的任何抽检、查验、询问或其它要求,甲方应积极配合协助

相关操作(包括但不仅限于支付关税),若甲方拒绝或怠于配合使包裹无法按承诺时效完成派送所导致的损失、责任及后果均由甲方自行承担,乙方不承担任何违约及赔偿责任。
In case of any sample inspection, examination, inquiry or other requirements by the customs on the parcels purchased by the Buyer, the Buyer shall give active cooperation and assistance to relevant operations, including without limitation

payment of customs duties. If the Buyer refuses or fails to give cooperation thereto, thus causing the parcel fails to be delivered within the time limit as promised, the Buyer shall be solely responsible for any losses, liabilities and consequences arising therefrom, and Seller shall not be liable for any breach of contract and compensation.

10.1.4. 甲方乙方承诺乙方服务所涉的包裹及商品:

The Buyer undertakes to Seller that the parcel and goods in relation to the services it acquires from Seller:

10.1.4.1. 不存在任何中国法律或买家所在国家或地区法律规定的禁止、限制寄递物品

Contains no prohibited or restricted mailing items under any Chinese laws or any laws and regulations of the country or territory where the Buyer is located.

10.1.4.2. 不存在任何侵犯第三方合法权益(例如:假冒商品等)。

Do not infringe any legitimate rights and interests of a third party (By way of counterfeiting, etc.)

 

10.2. 乙方的权利义务

10.2.1. 乙方将不对禁运限运物品提供本合约条款中约定的服务。禁运限运物品应符合中

国及相应物流服务涉及国家的法律法规;如双方就某一物品是否属于上述禁运/限运物品存在分歧,以乙方认定为准。若发现任何禁限运商品,乙方有权按照本合约条款第10.2.2条对该商品及包裹进行处理并不承担任何违约责任。
Seller will not provide services agreed herein for prohibited or restricted mailing items. Prohibited or restricted mailing items shall be in compliance with the PRC laws and regulations and those of the countries where relevant logistics services are involved. If there exists any disagreement between both Parties regarding whether a specific item is the restricted or prohibited item as mentioned above, Seller’s opinion shall prevail. In case any prohibited or restricted mailing items are found, Seller shall become entitled to deal with the goods and parcel in accordance with Article 10.2.2 without being held liable for breach of contract in any way whatsoever.

10.2.2. 当包裹到达中国广州仓库乙方将协同广州仓库对包裹及运输平台中的订单信息进行

匹配及检查包裹外包装是否完好。此外,乙方有权在安全检查过程中对甲方交寄的可能含有禁运限运或者存在侵权的包裹或商品进行拆包检查。若出现任何与订单信息不一致、无法提供服务或包裹外包组装破损等情况(例如:外包装有严重破损、严重变形的,超过派送体积、重量限制的、面单信息缺失的或明显含有法律法规明确限制或禁止出口的商品、或违反运输安全包裹,以下统称问题包裹),乙方有权拒绝签收及拒绝为甲方提供本合约条款项下的服务且不承担任何违约责任。相关问题包裹在乙方拒收后将由商家或寄件人委托的快递公司退回商家或寄件人。同时乙方会将上述问题包裹被拒收的信息及原因反馈至运输平台,甲方可在运输平台中查看到具体情况。在此情况下,乙方不承担甲方的任何损失。若乙方在入库程序完成之后发现问题包裹,则乙方有权将问题包裹退回商家或寄件人,相关退回运费由甲方承担。

Upon arrival of the parcel at the China Mainland warehouse, Seller will work together with the warehousing service provider to match the parcel with the information under the corresponding order in the Logistic Platform and check whether the outer packing of the parcel remains in good condition. In addition, Seller may, during the course of 

 

security inspection, unpack and examine the parcel or goods dispatched by the Buyer that might include any prohibited/restricted mailing items or constitute infringement. In case of any disparity between a parcel and the information specified in the relevant order, a failure to provide services or any damage in the external package of the parcel (e.g. any severe damage or deformation of the outer packing, a failure to comply with the maximum volume or weight specifications, loss of information on a delivery order or obvious involvement of any goods whose exportation is expressly

prohibited or restricted under laws and regulations, or a violation of air transportation safety regulations, hereinafter collectively referred to as the “Problematic Parcel”), Seller shall have the right to decline to acknowledge its receipt thereof and refuse to provide the Buyer with the services hereunder, without being held liable for breach of contract. The Problematic Parcel which Seller refuses to accept will be returned to the Merchant or Parcel Sender by the courier services company authorized by the Merchant or Sender. Meanwhile, Seller will notify the Logistic Platform of the aforesaid refusal to accept Problematic Parcels and the reason of such refusal, whilst the Buyer may look into details on the Logistic Platform. In such event, Seller does not bear any losses incurred by the Buyer. If Seller discovers the Problematic Parcel after the completion of warehousing procedures, Seller shall be entitled to return the Problematic Parcels to the Merchant or Sender which Buyer shall bear the freight charge resulting from the said return thereof.

10.2.3. 乙方承诺的具体配送范围为运输平台展示的配送范围。乙方可根据情况不断调整配送

范围,甲方继续使用乙方的服务视为甲方接受乙方调整后的配送范围。
The scope of delivery service committed by Seller shall be same as that is reflected on the Logistic Platform. Seller may adjust the delivery scope as needed from time to time. The Buyer’s continuing use of Seller’s service is deemed as the Buyer’s acceptance of Seller’s adjusted delivery scope.

10.2.4. 乙方必须维护运输平台与本合约条款履行相关功能的稳定运行,并有权根据自己独立

的判断对就该等功能进行改进或停机维护。乙方应在改进或停机维护前通过电商平台和/或电商平台向甲方进行公告。
Seller must maintain the stable operation of the relevant function on the Logistic Platform with respect to the performance hereof, and Seller may at its own discretion make improvements or downtime maintenance for such function. Seller shall issue announcement to the Buyer through the Logistic Platform before relevant improvement or downtime maintenance.

10.2.5. 对于甲方违反本合约条款等自身的过错(包括但不限于购买涉嫌侵犯知识产权的商品

造成海关罚没、销毁、扣留等)造成的损失,乙方不承担任何责任;同时,若乙方因此遭受损失,乙方有权向甲方要求相应赔偿。
Seller shall not be liable for any loss caused by any fault of the Buyer such as breach to this Service Agreement (including but not limited to the customs fine or confiscation, destruction, or seizure due to the purchase of any goods that allegedly infringing upon any intellectual property right), in which case Seller may require the Buyer to make appropriate compensation for the losses incurred by Seller therefrom.

 

11. 集运赔偿条款

Compensation Clause

 

11.1. 货物价值认定

Recognised Value of Parcel

11.1.1. 投保单品货物的最高价值认定以实际货物价值为准,未投保单品货物最高价值

定额人民币1000

价值认定以实际货物价值为准,需提供有效凭证

 

 

Maximum recognised value for single parcel that is covered by insurance is depending on the actual parcel value. Maximum recognised value for single parcel that is not covered by insurance is 1000RMB. 

The recognised value is depending on the actual parcel value and need to be verified by its goods’ invoice.

11.1.2. 超过人民币1000 的单品货物为高价值货物,甲方可自愿投保

Value of single parcel that exceeded RMB1000 will be recognised as high-value parcel. Buyer shall insure cover insurance voluntarily.

 

11.2. 货物投保保费

Parcel Insurance 

11.2.1. 货物保费为货物价值的3%,一个快递单号对应一个单品,一个单品最低保费为

人民币100,或等值马币

Parcel insurance charges is 3% of the value of the parcel. Minimum charges for 

single parcel (One parcel tracking number=One parcel) is 100RMB, or Malaysia Ringgit equivalent.

11.2.2. 投保时间货物到达中国广州仓库后且货物装柜发运前投保

Buyer shall insure cover insurance once the parcel reached Guangzhou, 

China Mainland Warehouse, before parcel loaded into container.

11.2.3. 在货物有任何损失的情况下,甲方的责任乙方不予赔付,若是乙方的责任乙方将进行

赔付。

In case of parcel lost or damaged, Seller will not make compensation to incident due to Buyer’s negligence of duty. Seller will only make compensation to incident due to Seller’s negligence of duty. 

 

11.3. 理赔条款

Compensation Clause

11.3.1. 当包裹到达中国广州仓库,乙方将协同广州仓库对包裹及运输平台中的订单信息进行

匹配及检查包裹外包装是否完好。广州仓库收货只检查外包装,无法检查包装内部货

物情况。

Upon arrival of the parcel at the China Mainland warehouse, Seller will work together with the warehousing service provider to match the parcel with the information under the corresponding order in the Logistic Platform and check whether the outer packing of the parcel remains in good condition. China Mainland warehouse will only inspect for the outer packing of parcel and confirm whether it is corresponding to maritime logistic package standard. China Mainland warehouse will not unpack and examine the parcel or goods dispatched by the Buyer unless during the course of security inspection.

11.3.2. 因海上陆地运输的特殊性,货物会发生颠簸及碰撞,外包装普通磨损不在索赔范围

内。

Parcel is expected to undergo collision due to maritime logistic characteristics. Seller shall not be liable for any destruction of the outer packaging of parcel.

11.3.3. 甲方需在收货现场检查货物外包装,如收货时发现外包装有明显严重破损,请拍照留

底并发送至乙方客服及向乙方提出索赔申请签收后的货物不在理赔范围。

Buyer shall inspect the outer packing of parcel at receipt of parcel. If Buyer notices any obvious destruction or damage on outer packing of parcel, please take photo on the destruct or damage part on the outer packing of parcel immediately and lodge a compensation application to Seller’s customer service channel. Seller shall not be liable for parcel upon receipt acknowledgement by Buyer. 

 

 

 

 

11.3.4. 如发生货物损失,投保货物的最高索赔额以实际货物价值为准(需提供有效凭证)。 

非投保货物的最高索赔额为所损失订单运费的3倍,且封顶为人民币1000/订单,或值

马币(需于签收后48小时内提供有效凭证)

In case of any loss or destruction of parcel, maximum compensation amount for single parcel that is covered by insurance is depending on the actual parcel value and need to be verified by its goods’ invoice.

Maximum compensation amount for single shipment that is not covered by insurance    

is 3 times the shipment fee of lost or damaged parcel, or 1000RMB, or Malaysia   

Ringgit equivalent. The compensation amount needs to be verified by supporting 

evidence within 48 hours after receiving the shipment.

11.3.5. 一切裸装货物及易碎品(如玻璃制品、大理石产品、显示器类等)不在索赔范围内。

Seller shall not be liable for any destruction of fragile goods and goods without outer package corresponding to maritime logistic package standard. 

11.3.6. 理赔工作自申诉开始起14 个工作日内结束。

Compensation process will take up to 14 working days.

 

11.4. 货物保管期

Parcel Storage Period

11.4.1. 货物保管期为90 个自然天,即货物抵达马来西亚仓库开始后的90 个自然天为保管

期。若甲方超过90个自然日未提取货物,乙方有权视为甲方作为包裹所有权人授权乙方将包裹销毁。自货物抵达马来西亚仓库之日起第91个自然日起,乙方有权就上述包裹进行销毁且无需再通知甲方或得到甲方确认,甲方同时放弃要求乙方提供销毁证明的权利。

Parcel Storage Period at Malaysia warehouse is 90 natural days. The starting date for parcel storage period is when the parcel first reach at Malaysia warehouse. If Buyer fails to collect the parcel in 90 natural days, it shall be deemed that the Buyer, as the owner of the parcel, has authorized Seller to destruct the parcel. As from the 91st natural day after the parcel reached Malaysia warehouse, Seller shall have the right to destruct the parcel without either notifying the Buyer thereof or obtaining a confirmation thereof from the Buyer, in which case the Buyer concurrently waives its right of requesting Seller to provide a proof of such destruction.

 

11.5. 售后服务

After-Sales Service

11.5.1. 货物于马来西亚派送成功签收后14个自然日内为售后服务期,甲方可以提出复核

尺寸、查询清单、查询货物照片等服务要求,如超出售后服务期乙方将删除所有相关资料,以保护甲方资料不外泄。

After-Sales Service period is 14 natural days starting from the day when the parcel is successfully delivered by Seller and signed to acknowledge the receipt of parcel by Buyer. Buyer can exercise rights to ask Seller to review the volume of parcel calculated in invoice, invoice amount and details, and also ask Seller to provide photos and details of parcel in 14 natural days. Seller has the rights to delete all the relevant data of the parcel after the after-sales service period in order to prevent breach of data.

 

12. 违约责任及协议终止
Liabilities for Breach of Contract and Termination of Agreement

 

12.1. 任何一方严重违反本合约条款,造成本合约条款约定之合作业务无法进行或由于一方

不履行本合约条款规定的义务、经通知纠正后14日内仍未纠正的,视作根本违约,守约方有权终止本合约条款,违约方应承担违约责任并赔偿守约方的经济损失。


Where either Party materially breaches this Service Agreement, which causes the cooperation business agreed herein fail to be carried out, or where a Party fails to perform its obligations provided herein and fails to correct such breach within 14 days upon notice thereof, it shall be deemed to have conducted a fundamental breach, and the non-breaching Party shall be entitled to terminate this Agreement. The breaching Party shall assume the liabilities for breach of contract and compensate for the economic losses of the non-breaching Party.

12.2. 乙方仅承担因其在本合约条款下向甲方所提供物流服务中服务瑕疵给甲方造成的直接

损失,对任何间接的、附带的、衍生的损失(包括但不限于收入或利润损失)不承担任何形式的赔偿责任。
Seller shall only be liable for the direct losses incurred by the Buyer as a result of the defects in the logistics service provided by Seller to the Buyer, and shall not be liable in whatsoever form for any indirect, incidental or consequential losses (including but not limited to the loss of income or profits).

12.3. 若甲方违反本合约条款项下的承诺与保证,乙方有权单方解除本合约条款,并对甲方

的包裹采取相应的措施且不承担因此造成的甲方损失;同时,乙方有权要求甲方赔偿乙方因甲方的违约行为遭受的全部损失且乙方有权决定不再为甲方提供任何物流服务。
If the Buyer is in breach of any undertakings and warranties under this Service Agreement, Seller shall have the right to unilaterally terminate this Service Agreement and take corresponding measures to the Buyer’s parcel without being held liable for any losses incurred by the Buyer; meanwhile, Seller shall have the right to require the Buyer to compensate for all the losses incurred by Seller as a result of the Buyer’s breach, and decide to no longer provide any logistics services to the Buyer.
